Register and other obligations before the Central Bank of Brazil

To invest or loan money to Brazilian assets, the foreigner shareholder shall get registered before the Brazilian Central Bank system, which will allow the inbound of foreign capital, being considered long term capital and/or foreign loan.

The local laws grant equal treatment to the foreign capital in Brazil and sets deadlines for the submission of the statement on the foreign capital invested to the Central Bank of Brazil.

The registration of the foreign capital with the Electronic Declaratory Register (RDE) allows the return of the invested capital overseas in a fast way and with no need for prior authorization.

Register in SISBACEN (IED and ROF) to enable the inbound or outbound of external resources from/to foreign countries, such as: investment and loans with foreign companies, profit remittances, return of capital, among others.

Once properly registered before the Central Bank, the Brazilian company should be able to sign exchange agreements and the receive remittances at its bank account in Brazil.

Accounting and Human Resources Services

After the turn-key, accounting and human resources services must be set up; such areas are fundamental for taxing purposes according to labor and social security laws. Legal and consultancy firms in Brazil do not typically provide accounting or payroll. However, we closely work with third parties that provide such services.
